DefinitionsFor the purposes of these Terms:“Riyansh Industries”, “Company”, “we”, “us” or “our” means Riyansh Industries operating from the address stated above.“Customer”, “you” or “your” means an individual, business, organisation or other person accessing our services, placing an order, making an enquiry or communicating with Riyansh Industries.“Services” means the products, services, support, customer communications, website functionality, messaging facilities and other services offered by Riyansh Industries from time to time.“Website” means any website, landing page or online property operated or controlled by Riyansh Industries.“Messaging Services” means communication through WhatsApp Business, WhatsApp Business Platform, RCS for Business, SMS, email or other communication channels used by Riyansh Industries.“WhatsApp” means the WhatsApp services and related business messaging products operated by Meta Platforms, Inc. and its relevant affiliates.“RCS” means Rich Communication Services and, where applicable, RCS for Business services made available through Google, participating carriers, telecommunications operators and authorised partners.“Content” means text, photographs, graphics, documents, logos, product information, messages, audio, video, links or other material.“User Content” means content supplied by you to Riyansh Industries.

Acceptance of TermsBy using our Website or Services, you confirm that you have authority to enter into these Terms where you are acting on behalf of an organisation.If you do not agree with these Terms, you should not use the relevant Services or submit information through our communication channels.Where you place an order, request a quotation, make a payment or otherwise proceed with a transaction after being provided these Terms, that conduct may constitute acceptance of the applicable Terms.Additional terms may apply to particular products, services, campaigns, quotations or subscriptions. Where such terms are expressly accepted by you, they will form part of the agreement between you and Riyansh Industries.

4. Description of ServicesRiyansh Industries may provide products and/or business services according to its current commercial offerings.The nature, specifications, pricing, availability, delivery conditions and other characteristics of a particular product or service may be stated in a quotation, purchase order, invoice, proposal, product description or other commercial communication.Riyansh Industries reserves the right to modify, discontinue or update any product or service, subject to applicable contractual obligations.Information published on our Website is provided for general informational purposes and may be updated from time to time. Product images, descriptions, colours, specifications or illustrations may vary where reasonably necessary because of manufacturing, supply, technical or availability considerations.

EligibilityYou must have the legal capacity required under applicable Indian law to enter into a binding contract.If you are using our Services on behalf of a company, firm, institution or other organisation, you represent that you have authority to bind that organisation.Our Services are not intended to be used in violation of applicable law or in a manner that could cause Riyansh Industries to violate applicable law, platform policies or contractual obligations.

User ResponsibilitiesYou agree to use the Services responsibly and lawfully.You must not:provide false, misleading or fraudulent information;impersonate another person or organisation;use our Services for unlawful purposes;attempt to gain unauthorised access to our systems;interfere with Website or messaging infrastructure;distribute malware, malicious code or harmful material;use our communication channels for spam;send content that is threatening, abusive, discriminatory, defamatory or unlawful;infringe another person’s intellectual property, privacy or other rights;use messaging services to distribute unsolicited bulk communications;circumvent opt-out, unsubscribe or suppression mechanisms;use customer data for purposes not authorised by the relevant customer or applicable law;submit prohibited or restricted content through our Services; oruse WhatsApp or RCS in a manner that violates applicable platform or carrier policies.You remain responsible for the legality, accuracy and appropriateness of information you provide to Riyansh Industries.

8. Payment & Billing TermsWhere Services are provided for a fee, the applicable price will be communicated through our quotation, order confirmation, invoice, subscription page or other commercial documentation.Unless otherwise agreed in writing, applicable taxes, duties, delivery charges, payment gateway charges or other transaction-related costs may be payable by the customer.Payments must be made within the payment period specified on the relevant invoice or commercial document.Riyansh Industries may use third-party payment processors or financial institutions for payment processing. Payment details may therefore be processed by those providers in accordance with their own applicable terms and privacy practices.Where a payment is reversed, dishonoured or otherwise fails, Riyansh Industries may suspend the affected Service until the outstanding amount is resolved.Any refund will be governed by the applicable quotation, purchase terms, refund policy or written commercial arrangement. Where no specific refund arrangement exists, refunds will be considered in accordance with applicable law and the circumstances of the transaction

Subscription Renewal & TerminationWhere Riyansh Industries offers a recurring or subscription-based Service, the applicable subscription period and renewal terms will be communicated before purchase.Unless expressly stated otherwise, a subscription may automatically renew for an equivalent period where recurring billing has been expressly authorised.You may request cancellation according to the cancellation procedure communicated for the relevant Service.Riyansh Industries may suspend or terminate a subscription where:payment remains outstanding;the customer materially breaches these Terms;the customer uses the Services unlawfully;continued service creates a security, compliance or reputational risk;a messaging platform, carrier or service provider restricts the relevant account or traffic; ortermination is otherwise permitted under the applicable commercial agreement.Termination does not automatically extinguish obligations that accrued before termination, including payment obligations, confidentiality obligations, intellectual property rights and indemnification obligations.


10. Use of WhatsApp Official API & RCSWhere enabled, Riyansh Industries may use official WhatsApp Business Platform/API services and RCS for Business infrastructure for customer communication.Such services may involve Meta, Google, telecommunications operators, messaging partners, cloud providers and other authorised infrastructure providers.Use of WhatsApp messaging is subject to applicable WhatsApp Business policies, terms and messaging requirements. Use of RCS for Business is subject to applicable Google, carrier and partner requirements.Riyansh Industries does not represent that WhatsApp or RCS services will always be available, uninterrupted or available in every country, network or device.For RCS, launch and continued operation may be subject to brand verification, agent review, carrier approval and other requirements. Google currently describes RCS agent launch as involving review of brand information and agent assets, and requires accessible Terms and Privacy Policy links as part of the launch process. 11. Message Delivery & Compliance PolicyRiyansh Industries aims to send relevant, lawful and appropriately authorised communications.Messages may include transactional updates, customer-service communications, order-related information, service information, account notices, operational notifications and, where appropriate and lawfully authorised, promotional communications.Where consent is required, Riyansh Industries will obtain appropriate consent before sending the relevant communication.Customers may be provided with an option to opt out of promotional communications. Where a valid opt-out request is received, Riyansh Industries will take reasonable steps to suppress future promotional communications, subject to messages that are legally or operationally necessary.Delivery is dependent on third-party infrastructure. A message may be delayed, filtered, rejected or undelivered due to network availability, device configuration, platform policies, carrier restrictions, user settings, technical failures or other circumstances outside Riyansh Industries’ reasonable control.RCS agents are also subject to business rules, launch requirements and traffic controls imposed by the applicable RCS ecosystem. 12. Intellectual Property RightsAll intellectual property rights in the Website, branding, logos, text, graphics, photographs, designs, software, documentation and other materials owned or licensed by Riyansh Industries remain the property of Riyansh Industries or the applicable rights holder.Nothing in these Terms transfers ownership of intellectual property to you.You may use information made available by Riyansh Industries solely for legitimate business or personal purposes connected with our Services.You must not reproduce, modify, distribute, publish, commercially exploit or create derivative works from our proprietary material without appropriate permission.Where you submit User Content, you retain ownership of your underlying rights. However, you grant Riyansh Industries the limited rights reasonably necessary to receive, store, process and use that content to provide the Services and perform the relevant transaction.

13. ConfidentialityEach party may receive confidential information from the other party in connection with a business relationship.The receiving party shall use reasonable care to protect confidential information and shall not disclose it except to personnel, service providers or professional advisers who reasonably need the information and are subject to appropriate confidentiality obligations, or where disclosure is required by law.Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed, or is lawfully received from another source without a confidentiality restriction.

Disclaimer of WarrantiesTo the maximum extent permitted by applicable law, Services are provided subject to the specific terms communicated for the relevant product or service.Riyansh Industries does not warrant that the Website or third-party communication platforms will always operate without interruption, error, delay or technical failure.Third-party platforms including WhatsApp, Google RCS services, telecommunications networks, payment providers, hosting providers and other infrastructure services operate independently and may change their policies, functionality or availability.Riyansh Industries does not guarantee approval, verification, delivery rates, message-read rates, response rates or uninterrupted access to WhatsApp or RCS services.Nothing in these Terms excludes a warranty or consumer protection right that cannot lawfully be excluded.

15. Limitation of LiabilityTo the maximum extent permitted by Indian law, Riyansh Industries shall not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Services, including loss of anticipated profits, business opportunity, goodwill or data, except where such exclusion is prohibited by law.Riyansh Industries shall not be responsible for failures attributable to third-party platforms, telecommunications operators, internet service providers, payment processors, device failures, force majeure events or circumstances outside the Company’s reasonable control.Where liability cannot legally be excluded, it shall be limited to the extent permitted by applicable law.Nothing in these Terms limits liability for matters that cannot lawfully be limited or excluded.

IndemnificationTo the extent permitted by law, you agree to indemnify and hold harmless Riyansh Industries, its personnel and authorised representatives from claims, losses, liabilities, costs and reasonable expenses arising from:your material breach of these Terms;unlawful use of the Services;infringement of third-party rights caused by your content or conduct;fraudulent or misleading information supplied by you;misuse of WhatsApp, RCS or other messaging services; orviolation of applicable law or third-party platform policies by you.Riyansh Industries may take reasonable steps to defend or resolve a claim covered by this provision.

17. Governing Law (India)These Terms shall be governed by and interpreted in accordance with the laws of India.Subject to applicable mandatory law, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over Sangli, Maharashtra, India.Nothing in this clause prevents a consumer from exercising a mandatory statutory right that cannot lawfully be waived.Before commencing formal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith communication.



18. Changes to TermsRiyansh Industries may update these Terms when reasonably necessary to reflect changes to its Services, business practices, legal requirements, technology or third-party platform requirements.The updated version will be published on the relevant Website or otherwise made available to customers.Where a material change requires specific notice or consent under applicable law, Riyansh Industries will take the appropriate steps.Your continued use of the Services after an updated version becomes effective may constitute acceptance of the updated Terms to the extent permitted by law.
